Terms of Service

ReAgentClaw is a hosted SaaS application at app.reagentclaw.com that provides eight done-for-you AI tools for residential real estate professionals: Lead Scorecard, Listing Marketing Kit, Follow-Up Builder, Open House Kit, Buyer Match Outreach, Market Report Writer, Offer Response Assistant, and Referral Engine. New tools may be added from time to time and are included in your plan at no additional charge.

When you purchase a plan, you receive a non-exclusive, non-transferable subscription or lifetime license (depending on the plan) to use the tools for your own real estate business for the duration of your plan.

We offer three plans, all of which include full access to every tool:

• Monthly ($97 / month): Recurring monthly subscription. 300 generations per month. Billed automatically each month until cancelled.
• Annual ($697 / year): Recurring annual subscription. 500 generations per month. Billed automatically each year until cancelled.
• Lifetime ($997 one-time): A single payment that provides access to all current and future tools for as long as the Service exists, subject to these Terms. 500 generations per month.

Prices are in U.S. dollars and exclude any applicable sales, use, or value-added tax. Payments are processed by Stripe, Inc. We do not store your full payment card details.

Recurring subscriptions auto-renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from the customer portal linked in your billing page or by emailing support@reagentclaw.com.

Monthly plan: 14-day money-back guarantee. Email support within 14 days of your initial purchase for a full refund.

Annual plan: Refundable pro-rata in the first 30 days.

Lifetime plan: 14-day money-back guarantee from the date of purchase. After 14 days, the Lifetime plan is non-refundable.

Each plan includes a monthly generation limit (300 for Monthly, 500 for Annual and Lifetime). One "generation" is one full run of one tool. Refining an existing output (asking for it shorter, warmer, etc.) does not count toward the monthly limit.

If you reach the monthly limit, you'll see a soft cap message in the app. We don't charge overage automatically. You may either wait for the next monthly reset, refine existing outputs, or upgrade your plan from the billing page.

We reserve the right to throttle or suspend accounts that show patterns of automated, bulk, or abusive usage that fall outside ordinary single-agent workflows.

Subject to your compliance with these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own real estate business. You may not:

• Resell, sublicense, rent, or redistribute the Service or any tool to third parties.
• Remove, alter, or obscure any proprietary notices, trademarks, or branding.
• Reverse engineer, scrape, or attempt to derive the source code or underlying prompts, except where permitted by law.
• Use the Service to build a competing product.
• Use the Service for any unlawful purpose or in violation of applicable real estate, advertising, fair housing, or consumer protection laws.
• Share your account credentials with another agent (each licensed agent should have their own seat — see Section 12 for team plans).

All ownership, intellectual property, and other rights in and to the Service remain with Next Right Studios LLC and its licensors.

You retain all rights to any content you input into the Service ("Inputs") and any outputs the Service generates for you ("Outputs"). You are responsible for your Inputs and Outputs, including ensuring they comply with all applicable laws — the Fair Housing Act, CAN-SPAM, TCPA, state real estate advertising rules, and MLS advertising guidelines.

You grant us a limited license to process Inputs and Outputs solely to provide, operate, and improve the Service. We do not use your Inputs or Outputs to train general-purpose AI models. We use the OpenAI API with the no-training opt-out enabled for all customer traffic.

ReAgentClaw uses large language models that can produce inaccurate, misleading, or incomplete information. Every Output should be reviewed by you before it is sent to a client, used in a contract, published in marketing, or relied on for a business decision.

You are the licensed real estate professional. The Service is a drafting and productivity tool. It does not replace your professional judgment, fiduciary duties, legal counsel, or MLS / broker compliance review. We are not responsible for Outputs you send, publish, or act upon without review.

We target 99.5% monthly uptime but don't guarantee uninterrupted access. We may modify, suspend, or discontinue any tool or feature at any time. For paid subscriptions, if we permanently discontinue the Service we will provide pro-rata refunds of prepaid amounts for unused time.

For Lifetime customers, "lifetime" means the lifetime of the Service. If the Service is permanently discontinued, Lifetime customers will receive at minimum 90 days' advance notice and a one-time export of their stored outputs.

You may not use the Service to:

• Generate content that discriminates or appears to discriminate on the basis of race, color, religion, sex, handicap, familial status, national origin, or any other protected class under the Fair Housing Act or applicable state law.
• Send unsolicited commercial messages in violation of CAN-SPAM, TCPA, or equivalent non-U.S. laws. SMS sent from sequences generated by the Service requires prior express written consent from the recipient.
• Generate misleading or deceptive marketing, including fake reviews, testimonials, or property representations.
• Impersonate any person or entity.
• Infringe any intellectual property or privacy right.
• Attempt to extract, replicate, or fine-tune our system prompts.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, OR LEGAL IN YOUR JURISDICTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEXT RIGHT STUDIOS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, COMMISSIONS, DEALS, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Brokerage seat plans are available — email hello@reagentclaw.com with your team size. Seat-based plans are governed by these Terms plus the seat order form. Each licensed agent must have their own account; sharing credentials across multiple agents is not permitted.

You agree to defend, indemnify, and hold harmless Next Right Studios LLC and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Inputs and Outputs, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Fulton County, Georgia, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

We may update these Terms from time to time. If we make material changes, we'll notify you by email or by a prominent notice in the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
